Johnson Winter Slattery (JWS) has advised the securityholders of Phocas Group Pty Ltd (Phocas Group) on the sale of the company to a wholly owned subsidiary of US-based private equity firm, Accel-KKR. The transaction includes a mix of cash and scrip consideration.
Phocas Group is a data analytics and software company, which provides business intelligence and financial analysis software. The partnership with Accel-KKR is the next phase of growth for Phocas Group, involving expansion into other markets.
Partners James Rozsa and Kate Naude led the JWS team, which comprised Associates Francesca Gazal, Jasmine Azemi and Ynan Zhou. JWS advised on all Australian legal aspects of the transaction.
James Rozsa said, “This is an excellent result for the Phocas Group securityholders. This transaction is an extension of JWS' relationship with Phocas Group, having advised its first institutional investor, OneVentures, on its initial equity investment in 2018. It also demonstrates again JWS’ active role as a leading and trusted adviser in the technology M&A space, both as company-counsel and investor-counsel.”
