Johnson Winter Slattery (JWS) is pleased to announce that it has acted for leading global workforce management provider Workwell on its acquisition of Oncore Group Holdings (Oncore), Australia’s pre-eminent contingent workforce outsourcing and payment solutions business.
The transaction brings together two highly complementary organisations with a shared commitment to simplifying and de-risking flexible work. Established more than 25 years ago, Oncore is recognised as Australia’s market leader in contractor payroll, management and compliance services, supporting enterprise clients, recruitment agencies and individual contractors.
Through the acquisition, Workwell will add Oncore’s strong Australian presence, proprietary software and specialised contractor care program to its existing global solutions, significantly expanding its APAC footprint and enhancing the breadth of services available to multinational clients, with Oncore's customers gaining immediate access to Workwell's global solutions. The combined group will support organisations and workers across multiple jurisdictions with compliant engagement models, superior care and real-time visibility over contingent labour spend.
Workwell CEO John Hoskin said, “The JWS team's consistent and diligent support in a complex cross-border transaction, combined with their breadth of knowledge and expertise across a range of areas and disciplines ensured the successful completion of the deal.”
JWS team
The JWS team advising Workwell was led by James Rozsa, Partner and Rebecca Proudman, Senior Associate, together with Stuart Hutton, Associate. The employment team, led by Ruveni Kelleher, Partner, Naomi Cooper, Special Counsel and Norah Chafardet, Senior Associate, also provided key support. JWS provided comprehensive Australian legal support across all aspects of the transaction, including legal due diligence, structuring, sale and purchase documentation, regulatory considerations, employment and contractor compliance, intellectual property and technology, privacy, insurance and transitional arrangements.
James Rozsa commented: “We are delighted to have supported Workwell on this strategically important acquisition. Oncore is a standout Australian success story in contingent workforce management, and its addition to Workwell’s international platform will create a truly global solution for enterprises, recruiters and contractors.”
