Johnson Winter Slattery advises Vector Capital on its acquisition of Bigtincan Holdings

Johnson Winter Slattery (JWS) has advised Vector Capital Management, L.P. (Vector) on its successful public-to-private acquisition of Bigtincan Holdings Limited (BTH) for a transaction value of approximately A$183 million. 

The transaction involved two separate and concurrent schemes of arrangement under the Corporations Act 2001 (Cth), both of which were implemented on 23 April 2025. The first scheme of arrangement concerned the acquisition of all the ordinary shares in BTH listed on the ASX by an entity ultimately owned by a fund managed and advised by Vector. The second scheme of arrangement concerned the cancellation of certain options of BTH. 

BTH is a global software company which operates an AI-powered sales enablement automation platform with tools to improve sales readiness, content management and customer engagement. The transaction is significant because it allows BTH to benefit from Vector’s nearly 30-year track record building and scaling technology businesses. Vector intends to work with the BTH team to identify and pursue growth opportunities.

JWS advised on all Australian legal aspects of the transaction, including due diligence, transaction documentation and the court approval process. Sidley Austin LLP advised on all US legal aspects of the transaction, including on acquisition financing.
