Nick is a leading international Infrastructure M&A, Projects and Finance lawyer with a deep understanding of commercial and legal structuring of transactions.
He works across a range of sectors, including transportation infrastructure (ports, airports, roads, bridges, rail and mass transit), digital infrastructure (data centers, subsea cable), power and renewables (solar, onshore/offshore wind, geothermal, hydro), waste-to-energy, water and wastewater, district energy, pipelines, energy storage/terminals, “core plus” infrastructure (towers, car parks, telecoms) and resources infrastructure.
Nick has more than 30 years’ of experience in Asia, Australia, Europe, United States and the Middle East. He represents strategic and financial sponsors, lenders and arrangers on complex equity and debt infrastructure across the risk spectrum (development to operating), across the capital structure and across the lifecycle (opportunity to exit). Transactions include private equity – style equity and debt investment structures; bespoke investment platforms and strategic partnerships; capital funding solutions; special situations; acquisitions, auctions, exits and divestments; corporate finance and limited recourse/project finance.
His deep knowledge, understanding of the commercial drivers and experience in executing transactions means that clients can rely on him to “get the deal done.”
Advised on the US$1.2 billion acquisition from Blackstone/Sithe Global of majority interests in GNPower termal platform in the Philippines and related US$650 million acquisition financing facilities from international lenders lead by BOTM and Standard Chartered.
Advised on its equity investment in the A$1.7 billion privatisation of the Port of Newcastle and the subsequent sale of its 50 percent interest to China Merchants Port Holdings.
Advised on a US$340 million senior secured loan facility (with farm-in and royalty rights) to Niko Resources, a TSX-listed company with oil and gas properties in India (D6 Block), Indonesia, Bangladesh and other emerging markets.
Advised on the establishment of a US$720 million Japan Solar investment platform in Japan including seed assets.
Advised on its bid for the US$18 billion privatization of the Osaka/Kansai Airports in Japan.
