Johnson Winter & Slattery is advising rural services company Ruralco Holdings Limited in relation to the competition aspects of its proposed acquisition by Nutrien. Last week, the ACCC granted informal merger clearance for this transaction after a 6 month process.
The ACCC announced that it would not oppose the proposed acquisition because it was unlikely to substantially lessen competition.
As part of the informal clearance, Nutrien has agreed to provide an undertaking to sell three rural merchandise stores, located in Broome (WA), Alice Springs (NT) and Hughenden (Qld), to an ACCC approved buyer.
The Johnson Winter & Slattery team who advised on the ACCC clearance for Ruralco was led by competition partners, Aldo Nicotra and Sar Katdare, supported by Associate Jesse McNaughton.
Aldo Nicotra said the firm was happy to assist Ruralco with this transaction. “Informal clearance from the ACCC was an essential step in ensuring that the transaction could proceed. We are pleased to have assisted Ruralco achieve this goal and look forward to seeing the merged entity prosper in the future.”
Gilbert + Tobin advised Ruralco on the corporate aspects of this transaction. Nutrien was advised by Ashurst for ACCC clearance and Allens for corporate.
