Sophia is a corporate lawyer specialising in M&A transactions, joint ventures and general corporate and commercial matters.

She assists clients in successfully navigating their way through large scale and complex transactions by combining her understanding of their commercial objectives with extensive experience in both cross border and domestic transactions. Sophia has broad sector experience including infrastructure, transport and FMCG.

Sophia has been involved in some of the highest profile restructuring and insolvency deals in Australia in recent years, and is highly regarded for her strategic approach and problem solving ability.

Mergers & Acquisitions

  • Blackmores Ltd: acquisition of Global Therapeutics herbal and traditional products business
  • Microsoft Corporation: acquisition of certain technology assets from Event Zero, who carries on the business of providing management software for Microsoft’s Skype for Business product
  • Tyrrells Potato Crisps Ltd: acquisition of Yarra Valley Snack Foods Pty Limited
  • Air New Zealand: sale of its Australian aircraft maintenance business to management
  • Apollo Education Ltd: acquisition of Open Colleges Australia
  • Natura Cosméticos S.A: acquisition of the Aesop skincare business
  • Foster’s: demerger of Treasury Wine Estates Ltd and separation of its beer, cider and spirits business and its wine business
  • KordaMentha as the receivers of the Cross City Tunnel: $700 million sale to an ABN AMRO/Leightons consortium
  • Transport Infrastructure Projects: proposed sale and purchase of a number of major transport infrastructure projects, including the Adelaide to Darwin Railway and Lane Cove Tunnel
  • The syndicate of banks to the Allco Finance Group: security review and subsequently acted for the receivers to the Allco Finance Group, including in relation to the sale of the shipping business
  • Johnson & Johnson: Australian aspects of its worldwide acquisition of Pfizer's consumer healthcare business.

Joint ventures

  • BP: joint venture arrangements as part of its successful bid for funding under the Commonwealth’s Solar Flagships Program
  • Hutchison Ports: joint venture arrangements relating to an intermodal terminal at Port Botany.
  • Chemtech Australia: joint venture with Transpacific Industries and related sale of business.

Corporate and Commercial

  • Foster's: outsourcing of its maintenance operations at its Abbotsford brewery in Victoria
  • Various clients such as Foster's, Johnson & Johnson and British American Tobacco: commercial agreements relating to supply, distribution and logistics arrangements
  • Various listed and unlisted companies: corporate governance issues, including director's duties and compliance with the Listing Rules and Corporations Act.
